Terms of Service and Digital Product License Agreement

Effective Date: August 5, 2026

These Terms of Service and Digital Product License Agreement (“Terms”) govern your purchase, access, and use of digital products sold by Amir Omar, a Florida sole proprietor operating under the business name Amir HighLevel Consulting (“Amir HighLevel Consulting,” “Company,” “we,” “us,” or “our”).

These Terms apply to purchases made through our website, checkout pages, sales pages, payment links, emails, or other sales channels.

By placing an order, checking an acceptance box, accessing a product, importing a snapshot, or otherwise using a product, you agree to these Terms.

If you do not agree, do not purchase, import, access, or use the product.

## 1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use our products.

If you purchase on behalf of a company, agency, or other organization, you represent that you have authority to bind that organization to these Terms.

Our products are intended primarily for business and commercial use.

## 2. Products

Amir HighLevel Consulting sells individual digital GoHighLevel snapshots and related digital materials.

Each purchase covers only the specific snapshot and materials identified on the applicable product or sales page at the time of purchase.

A purchase does not provide access to every snapshot, the entire Snapshot Library, or future products unless the sales page expressly states otherwise.

Product descriptions, screenshots, demonstrations, feature lists, and included materials may vary between products. Customers are responsible for reviewing the applicable product page before purchasing.

## 3. One-Time Purchase

Unless expressly stated otherwise, each snapshot is sold as a one-time purchase.

A one-time purchase is not a subscription and does not include automatic recurring renewal charges. We may, however, offer installment payment plans for certain purchases.

The customer receives a license to use the purchased snapshot subject to these Terms. Purchasing a snapshot does not transfer ownership of the snapshot or its intellectual property.

## 4. Digital Delivery

Products are delivered electronically using the email address provided during checkout.

Delivery may include a snapshot import link, access instructions, downloadable materials, or other information required to access the purchased product.

The customer is responsible for:

- Providing a valid and accessible email address;

- Checking spam, junk, promotions, and filtered email folders;

- Maintaining access to the email account used during checkout; and

- Contacting us promptly if the delivery email is not received.

A product will be considered delivered when the delivery email or access information is successfully sent to the email address provided by the customer.

If the customer loses the delivery email or snapshot link, we may resend it after verifying the purchase. Resending is subject to the product and delivery method remaining technically available.

## 5. GoHighLevel Account Required

Customers must maintain their own active GoHighLevel account to import and use the snapshot.

The customer is solely responsible for:

- Creating and maintaining their GoHighLevel account;

- Paying all GoHighLevel subscription and usage fees;

- Maintaining access to their agency and subaccounts;

- Complying with GoHighLevel’s terms, policies, and platform requirements; and

- Configuring any services, integrations, phone numbers, email systems, domains, calendars, payment processors, or other third-party features needed for the snapshot.

The cost of a GoHighLevel account or any other third-party service is not included with the snapshot.

## 6. No Affiliation With GoHighLevel

Amir HighLevel Consulting is an independent business.

We are not owned by, operated by, sponsored by, endorsed by, or officially affiliated with GoHighLevel or HighLevel Inc.

“GoHighLevel,” “HighLevel,” and any related names, logos, products, or trademarks belong to their respective owners.

## 7. License Grant

Subject to full payment and continued compliance with these Terms, Amir HighLevel Consulting grants the purchaser a limited, non-exclusive, non-transferable, revocable, and perpetual license to use the version of the snapshot delivered at the time of purchase.

“Perpetual” means that the customer may continue using the delivered version for as long as the customer complies with these Terms.

It does not mean that we must provide permanent hosting, permanent download access, future updates, continued support, or compatibility with future versions of GoHighLevel.

The license is limited to one GoHighLevel agency account owned or controlled by the purchaser.

A separate purchase is required to use the snapshot within another unrelated GoHighLevel agency account unless we provide written permission otherwise.

## 8. Permitted Agency and Client Use

The purchaser may:

1. Import and use the snapshot inside the purchaser’s own GoHighLevel agency;

2. Install the snapshot into multiple client subaccounts located under that agency;

3. Modify and customize the snapshot for the purchaser’s business or clients;

4. Add client branding and white-label the completed implementation;

5. Charge clients for setup, installation, customization, management, consulting, or related services; and

6. Allow authorized employees and contractors working within the purchaser’s agency to access the snapshot solely for the purchaser’s permitted business purposes.

Employees and contractors may not retain, distribute, sell, or use the snapshot independently outside the purchasing agency.

The purchaser remains responsible for everyone who accesses or uses the snapshot through the purchaser’s agency.

## 9. Clients Leaving the Purchasing Agency

If a client subaccount containing an installed and customized version of the snapshot is transferred out of the purchasing agency, the client may continue using the system already installed in that specific subaccount.

However, neither the client nor the purchasing agency may:

- Extract or distribute the original snapshot;

- Generate or share a new snapshot copy for redistribution;

- Install it into additional agency accounts or unrelated subaccounts;

- Resell the snapshot as a digital product or template; or

- Claim ownership or authorship of the original snapshot.

The transferred client does not receive rights to future support, replacement links, updates, or additional installations from Amir HighLevel Consulting.

## 10. Prohibited Uses

Customers may not, directly or indirectly:

1. Sell, resell, sublicense, share, distribute, publish, rent, lease, or give away the original snapshot;

2. Share the snapshot import link publicly or with unauthorized parties;

3. Use one purchase across multiple unrelated GoHighLevel agencies;

4. Package the snapshot or a substantially similar derivative as a competing snapshot, template, course resource, membership resource, or digital product;

5. Copy or recreate the snapshot for redistribution;

6. Allow clients to resell or redistribute the snapshot;

7. Share purchasing credentials or access outside the customer’s authorized agency team;

8. Claim to have created or own the original snapshot;

9. Remove copyright, ownership, license, or intellectual-property notices;

10. Use the product to infringe another person’s rights;

11. Use the product for unlawful, fraudulent, deceptive, abusive, or harmful activities;

12. Use the product to send unlawful spam or unauthorized communications;

13. Introduce malware, malicious code, or harmful technology;

14. Bypass technical restrictions or intellectual-property protections; or

15. Use the product in any manner that violates these Terms or applicable law.

The ability to modify or white-label a client-facing implementation does not grant the customer ownership of the underlying snapshot or permission to resell it as a product.

## 11. Ownership and Intellectual Property

The snapshot, its structure, workflows, templates, automations, forms, funnels, websites, designs, written materials, instructions, graphics, processes, and other included materials are owned by Amir HighLevel Consulting or used under permission from their respective owners.

Except for the limited license granted under these Terms, no ownership rights are transferred to the customer.

The customer owns their own:

- Business information;

- Client information;

- Branding;

- Original content;

- Customer data; and

- Independent additions that do not reproduce our protected materials.

Customer modifications do not transfer ownership of the original snapshot or authorize distribution of a modified or derivative snapshot.

## 12. Product Updates

Products are sold as they exist at the time of purchase.

Unless expressly stated otherwise, purchases do not include:

- Future updates;

- New versions;

- Newly added features;

- Replacement products;

- Future snapshots;

- Ongoing maintenance; or

- Compatibility updates.

We may voluntarily provide an update, correction, or replacement at our sole discretion. Doing so once does not create an obligation to provide future updates.

We may add, remove, rename, modify, replace, or discontinue products at any time.

Discontinuing a product does not prevent an existing customer from continuing to use a version already delivered, subject to these Terms.

## 13. Third-Party Platform Changes

GoHighLevel and other third-party platforms may change, remove, restrict, rename, update, or discontinue their features at any time.

We do not guarantee that a snapshot will remain compatible with every future platform update.

Customers are responsible for making any adjustments required because of:

- GoHighLevel updates;

- Changes to email or SMS providers;

- Payment processor changes;

- API changes;

- Integration changes;

- Domain or hosting changes;

- Regulatory requirements;

- Third-party account restrictions; or

- Discontinued third-party features.

We are not responsible for a product or feature becoming unavailable, altered, or less effective because of a third-party decision or platform change.

## 14. Prices, Payments, and Stripe

Payments are processed through Stripe or another payment processor identified during checkout.

Prices are listed in U.S. dollars unless stated otherwise.

The customer authorizes the payment processor to charge the selected payment method for the amount shown at checkout.

We may change prices at any time. Price changes apply to future purchases and do not alter a completed purchase.

Promotional pricing, coupons, discounts, and limited-time offers may be subject to additional conditions. Promotions may be changed, limited, or discontinued at any time before purchase.

## 15. Payment Plans

We may offer installment payment plans for certain products.

A payment plan divides the total purchase price into scheduled payments. It is not a cancellable subscription unless expressly described as one.

By selecting a payment plan, the customer agrees to pay every installment and authorizes scheduled charges to the payment method provided.

Failure to complete an installment payment may result in:

- Suspension of access;

- Revocation of the license;

- Cancellation of support;

- Collection of the unpaid balance; or

- Other remedies allowed by law.

Previously paid installments may remain nonrefundable.

## 16. Taxes and Additional Fees

Prices may exclude applicable sales tax, use tax, value-added tax, duties, or other government charges.

Applicable taxes may be calculated and added during checkout.

The customer is responsible for taxes and third-party charges associated with their purchase or use of the product, including:

- Bank fees;

- Currency-conversion fees;

- Payment processing fees charged by the customer’s provider;

- GoHighLevel fees;

- Email or SMS usage fees;

- Domain fees;

- Integration costs; and

- Other third-party service fees.

## 17. Refund Policy

Because snapshots are immediately delivered digital products, all sales are final once access information has been delivered, except where a refund is required by law or expressly permitted below.

We do not provide refunds because a customer:

- Changes their mind;

- Makes an accidental purchase after delivery;

- Does not use the product;

- Does not have an appropriate GoHighLevel account;

- Does not understand how to use GoHighLevel;

- Lacks technical experience;

- Expected an unlisted feature;

- Experiences an issue caused by their own configuration;

- Uses incompatible third-party services;

- Fails to follow instructions; or

- Does not achieve a desired business result.

Importing, downloading, copying, configuring, or using the snapshot confirms receipt and use of the digital product.

## 18. Limited Refund Exceptions

We may provide a refund in the following situations:

1. Failed delivery: We are unable to provide access to the purchased product and cannot correct the issue.

2. Duplicate purchase: The same customer accidentally purchases the same product more than once, and the duplicate can be verified.

3. Legal requirement: A refund is required under applicable law.

4. Exceptional circumstances: We approve a refund at our sole discretion.

Delivery problems and duplicate-purchase requests must be reported within seven days of purchase by emailing [email protected].

Issuing a discretionary refund in one situation does not require us to issue refunds in similar situations.

## 19. Chargebacks and Payment Disputes

Customers should contact [email protected] and allow us at least three business days to investigate and attempt to resolve a payment or delivery issue before initiating a chargeback or payment dispute.

A chargeback, reversed payment, fraudulent payment, or unresolved failed installment may result in immediate suspension of:

- Product access;

- Snapshot usage rights;

- Support;

- Replacement links; and

- Future purchasing privileges.

If a payment is refunded, reversed, or charged back, the related license may be revoked and the customer must stop using and distributing the affected product.

Fraudulent, dishonest, or abusive payment disputes may result in permanent termination and refusal of future service.

Nothing in this section eliminates rights that cannot legally be waived.

## 20. Support

Standard support is available by email at [email protected], Monday through Friday, excluding holidays and periods when support is unavailable due to circumstances outside our reasonable control.

Our typical response time is one to three business days. This is an estimate and not a guaranteed response deadline.

Standard email support allows customers to ask reasonable questions about the purchased product.

Unless expressly included on the applicable sales page, support does not include:

- Importing or installing the snapshot;

- Done-for-you setup;

- Customization;

- Editing customer accounts;

- Troubleshooting customer modifications;

- Repairing third-party integrations;

- Marketing strategy;

- Business consulting;

- Legal or compliance advice;

- Writing custom campaigns;

- Technical management; or

- Training on the entire GoHighLevel platform.

Advanced setup, customization, consulting, or technical services may be available under a separate paid agreement.

We may refuse or discontinue support for abusive, threatening, harassing, fraudulent, excessively disruptive, or unreasonable conduct.

## 21. Customer Testing and Review

The customer must inspect, customize, configure, and fully test the snapshot before using it with real leads, customers, clients, payments, or communications.

The customer is responsible for verifying:

- Workflows;

- Triggers;

- Automations;

- Forms;

- Surveys;

- Links;

- Buttons;

- Calendars;

- Pipelines;

- Custom fields;

- Payment settings;

- Email addresses;

- Phone numbers;

- Email messages;

- SMS messages;

- Domains;

- Integrations;

- User permissions;

- Notification settings; and

- All other imported components.

The customer must replace placeholder information and remove any content that does not apply to their business.

## 22. Customer Content and Legal Compliance

Customers are solely responsible for the content they publish, send, collect, store, or process using the snapshot.

Customers must ensure that their use complies with all laws, regulations, contractual obligations, platform rules, and industry requirements applicable to their business.

This includes responsibility for:

- Advertising claims;

- Privacy notices;

- Terms and conditions;

- Consent language;

- Email marketing;

- SMS marketing;

- Calling and do-not-call requirements;

- Unsubscribe and opt-out requests;

- Data protection;

- Payment collection;

- Industry disclosures;

- Accessibility;

- Intellectual property; and

- Client-specific legal requirements.

The included templates are starting points only and are not guaranteed to be legally sufficient for every business, jurisdiction, industry, or use case.

## 23. Email and SMS Communications

Snapshots may contain sample email, SMS, voicemail, calling, or other communication automations.

The customer is solely responsible for obtaining all legally required consent before sending communications.

Customers must maintain proof of consent where required and promptly honor:

- Unsubscribe requests;

- STOP requests;

- Consent withdrawals;

- Do-not-call requests; and

- Other communication preferences.

Customers must review and customize every message before activation.

Amir HighLevel Consulting is not responsible for messages that are:

- Blocked;

- Filtered;

- Delayed;

- Undelivered;

- Marked as spam;

- Sent to an incorrect recipient;

- Noncompliant;

- Rejected by a provider; or

- Responsible for an account warning, restriction, or suspension.

## 24. Customer and Lead Data

Customers retain responsibility for all lead, client, and customer data entered into their GoHighLevel accounts.

Amir HighLevel Consulting does not control how customers collect, use, disclose, or store that data.

Customers are responsible for:

- Their privacy policy;

- Their data-security practices;

- User permissions;

- Account security;

- Data retention;

- Data deletion;

- Backups;

- Breach response; and

- Compliance with applicable privacy laws.

Customers should not email us passwords, private API keys, payment-card information, medical information, government identification, or sensitive customer data.

If account access is required for a separately purchased service, the access and data-handling terms may be addressed in a separate agreement.

## 25. No HIPAA or Regulatory Guarantee

The purchase of a snapshot does not create a business associate relationship, fiduciary relationship, professional relationship, or regulated data-processing relationship.

We do not represent that any snapshot is automatically compliant with HIPAA or any other specialized privacy, medical, financial, insurance, legal, credit, employment, or industry-specific requirement.

Customers operating in regulated industries must obtain independent professional advice and configure their systems appropriately.

## 26. No Professional Advice

Products, templates, support responses, demonstrations, and educational materials are provided for general business and informational purposes.

They are not legal, tax, accounting, financial, medical, cybersecurity, regulatory, or other professional advice.

Customers should consult qualified professionals regarding their individual obligations.

---

## 27. No Results Guarantee

We do not guarantee any particular:

- Revenue;

- Profit;

- Leads;

- Sales;

- Appointments;

- Conversion rate;

- Client retention;

- Time savings;

- Deliverability;

- Business growth; or

- Other outcome.

Results depend on factors outside our control, including the customer’s offer, market, pricing, advertising, implementation, follow-up, reputation, skill, compliance, and business operations.

Examples, demonstrations, case studies, testimonials, and hypothetical results are illustrative only and do not guarantee that another customer will achieve the same or similar outcome.

## 28. Backups and Security

Customers are responsible for maintaining backups of important information, configurations, content, and data.

Customers must protect their GoHighLevel accounts, email accounts, devices, passwords, and credentials.

We are not responsible for loss or damage caused by:

- Weak passwords;

- Shared credentials;

- Unauthorized account access;

- Deleted subaccounts;

- Customer mistakes;

- Platform failures;

- Account suspension;

- Missing backups; or

- Third-party security incidents.

## 29. Suspension and Termination

We may temporarily suspend or permanently terminate access, support, or license rights when we reasonably believe that a customer has:

- Violated these Terms;

- Failed to complete payment;

- Initiated an abusive or fraudulent chargeback;

- Shared or resold a snapshot;

- Infringed our intellectual property;

- Created a security risk;

- Used the product unlawfully; or

- Engaged in threatening, fraudulent, or abusive conduct.

Serious license or intellectual-property violations may result in termination without a refund.

Upon termination of the license, the customer must stop using and distributing the affected snapshot and delete copies under the customer’s control, except where otherwise required by law.

Termination does not eliminate amounts already owed or liability arising from conduct occurring before termination.

## 30. Disclaimer of Warranties

To the fullest extent permitted by law, all products and services are provided “as is” and “as available.”

We disclaim all express and implied warranties, including warranties of:

- Merchantability;

- Fitness for a particular purpose;

- Noninfringement;

- Accuracy;

- Availability;

- Compatibility;

- Security;

- Error-free operation; and

- Uninterrupted operation.

We do not warrant that a snapshot will meet every customer’s requirements, operate without errors, remain compatible with future technology, or produce any particular result.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the maximum extent legally permitted.

## 31. Limitation of Liability

To the fullest extent permitted by law, Amir HighLevel Consulting and Amir Omar will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages.

This includes damages involving:

- Lost profits;

- Lost revenue;

- Lost leads;

- Lost opportunities;

- Lost data;

- Business interruption;

- Missed communications;

- Account suspension;

- Reputational harm;

- Replacement services; or

- Third-party claims.

Our total cumulative liability arising from a product or these Terms will not exceed the amount the customer actually paid to Amir HighLevel Consulting for the specific product giving rise to the claim.

These limitations apply regardless of the legal theory asserted and even if we were advised that damages were possible.

Nothing in these Terms limits liability that cannot legally be limited, including liability resulting from fraud, intentional misconduct, or other liability that applicable law prohibits us from excluding.

## 32. Indemnification

The customer agrees to defend, indemnify, and hold harmless Amir HighLevel Consulting and Amir Omar from claims, losses, liabilities, penalties, damages, judgments, and reasonable legal expenses resulting from:

- The customer’s use of a product;

- The customer’s services to clients;

- Communications sent by the customer;

- Customer or client content;

- Failure to obtain required consent;

- Violation of law or platform rules;

- Violation of these Terms;

- Infringement of third-party rights;

- Misuse or redistribution of the snapshot; or

- Acts or omissions of the customer’s employees, contractors, clients, or users.

This obligation does not apply to the extent a claim was caused solely by our intentional misconduct or another matter that cannot legally be indemnified.

## 33. Informal Dispute Resolution

Before filing a legal action, the complaining party must provide written notice describing:

- The nature of the dispute;

- The relevant purchase;

- The requested resolution; and

- Supporting information.

Notices to Amir HighLevel Consulting must be sent to [email protected].

The parties agree to make a good-faith effort to resolve the dispute informally for at least 30 days after notice is received.

This section does not prevent either party from seeking urgent temporary relief to protect intellectual property, confidential information, or account security.

## 34. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action arising from these Terms or a purchase must be brought in a state or federal court with jurisdiction in Orange County, Florida, unless applicable law requires otherwise.

Each party consents to the personal jurisdiction of those courts.

## 35. Individual Claims and Class-Action Waiver

To the fullest extent permitted by law, disputes must be brought in the parties’ individual capacities.

Neither party may bring or participate in a class action, collective action, consolidated action, private-attorney-general action, or representative proceeding against the other.

If this waiver is found unenforceable for a particular claim, only that claim will be unaffected.

## 36. Waiver of Jury Trial

To the fullest extent permitted by law, each party knowingly and voluntarily waives the right to a trial by jury for disputes arising from these Terms or a purchase.

## 37. Electronic Communications and Acceptance

Customers consent to receiving transactional communications electronically, including:

- Order confirmations;

- Receipts;

- Delivery emails;

- Support communications;

- Legal notices; and

- Changes relating to their purchase.

Electronic acceptance, checkout acceptance, and electronic records have the same intended effect as a signed written agreement.

Customers are responsible for maintaining a current email address.

## 38. Changes to These Terms

We may update these Terms to reflect changes to our products, operations, security practices, platform requirements, or legal obligations.

Updated Terms will be posted with a revised effective date.

Changes generally apply prospectively. We will not retroactively remove a customer’s paid license rights to a previously delivered product unless necessary to address unlawful conduct, security issues, intellectual-property violations, nonpayment, or legal requirements.

Continued use after an applicable update takes effect constitutes acceptance of the updated Terms where permitted by law.

## 39. Privacy Policy

Our collection and use of personal information are also governed by our Privacy Policy, available at:

Customers operating their own businesses must maintain their own privacy policies and compliance procedures.

## 40. Force Majeure

We are not responsible
